Terms & Conditions

These terms govern use of portal.vau0.com and related registration, onboarding, account, document, and workflow activity.

1. Acceptance of Terms

By accessing or using the Portal — including registering an account, submitting documents, completing onboarding workflows, using messaging features, accessing driver or carrier dashboards, or otherwise interacting with any Portal function — you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy.

If you are using the Portal on behalf of a company, carrier, or other legal entity, you represent that you have authority to bind that entity to these Terms, and the terms "you" and "your" refer to that entity.

VAU0 may update these Terms at any time. Continued use of the Portal after any update constitutes acceptance of the revised Terms. The most current version will always be available at portal.vau0.com/terms.html.

2. Definitions

  • "Portal" means portal.vau0.com and all features, tools, APIs, and workflows accessible through it.
  • "User" means any individual or entity that accesses the Portal, including drivers, owner-operators, company representatives, carrier contacts, and administrators.
  • "Account" means the registered profile created through the Portal associated with a specific User or entity.
  • "Content" means any data, documents, text, images, forms, or other materials submitted to or through the Portal.
  • "Onboarding" means the process of submitting credentials, licenses, insurance, banking, employment, or compliance information for review and approval by VAU0.
  • "FMCSA" means the Federal Motor Carrier Safety Administration and related federal regulatory bodies governing commercial motor carriers and drivers.

3. Eligibility and Account Registration

You must be at least 18 years of age to use the Portal. By registering, you represent that you are legally authorized to enter into these Terms and, where applicable, to operate as a commercial motor carrier or driver under applicable federal and state law.

When you create an account, you agree to provide accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate. VAU0 reserves the right to suspend or terminate accounts created with false, misleading, or incomplete information.

Registration does not guarantee approval of your application, onboarding, or any business relationship with VAU0. VAU0 retains full discretion to accept, reject, or delay any registration or onboarding at any time for any lawful reason.

4. Portal Access and Authorized Use

Subject to these Terms, VAU0 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your authorized business purposes in connection with VAU0 services.

You agree not to:

  • Access or attempt to access any Portal area you are not authorized to use;
  • Use the Portal for any unlawful purpose or in violation of any applicable regulation;
  • Probe, scan, or test the vulnerability of the Portal or any connected system;
  • Introduce malware, viruses, or any harmful code;
  • Reverse engineer, decompile, scrape, or frame any part of the Portal;
  • Use automated tools, bots, or scrapers to access or interact with the Portal;
  • Interfere with or disrupt the Portal's infrastructure, servers, or networks;
  • Impersonate another person, driver, company, or carrier;
  • Share credentials or allow unauthorized third parties to access your account.

5. Account Security and Credentials

You are solely responsible for maintaining the confidentiality of your login credentials. You must notify VAU0 immediately at office@vau0.com if you suspect unauthorized access to your account.

VAU0 is not liable for any loss or damage arising from unauthorized access caused by your failure to protect your credentials. You are responsible for all activity that occurs under your account, whether or not you authorized it, until you report the compromise to VAU0.

VAU0 may require multi-factor authentication, email verification, or other identity verification steps at any time to maintain account security.

6. Registration and Onboarding Submissions

When registering or completing onboarding, you agree to provide truthful, accurate, and complete information including but not limited to: legal name, commercial driver's license details, medical certification, employment history, vehicle information, carrier authority, insurance details, and banking information where applicable.

You understand that VAU0 and its authorized representatives will review, verify, and process your submissions. VAU0 may contact you by phone, email, or text message to request additional information, clarify discrepancies, or complete the onboarding process.

Submission of false or fraudulent information may result in immediate account termination, reporting to relevant regulatory authorities, and potential legal liability.

7. Document Uploads and Data Submissions

You retain ownership of documents and data you upload to the Portal. By uploading Content, you grant VAU0 a non-exclusive, worldwide, royalty-free license to access, store, process, and use that Content as necessary to provide Portal services, fulfill onboarding requirements, meet regulatory obligations, and conduct related business operations.

You represent and warrant that:

  • You have all rights necessary to upload and share the Content;
  • The Content is accurate and not fraudulent or misleading;
  • The Content does not violate any law, regulation, or third-party right;
  • Documents are current, valid, and not expired at the time of submission (unless historical records are specifically requested).

VAU0 may share submitted documents with insurers, carriers, brokers, regulatory authorities, third-party verification services, and other parties as required by law or to fulfill the purposes for which they were submitted.

8. Communications and SMS Consent

By providing your phone number and completing registration, you consent to receive transactional and operational communications from VAU0 by phone, SMS, or email. These may include account verification codes, onboarding status updates, document request notifications, scheduling confirmations, and urgent operational notices.

SMS Terms

Message frequency varies. Standard message and data rates may apply. To opt out of SMS communications, reply STOP to any message. To opt back in, reply START. For help, reply HELP or contact us at office@vau0.com.

Opting out of non-essential communications will not affect your ability to receive critical account security or onboarding status messages required to complete your registration.

9. Carrier and Driver Operations

The Portal supports onboarding and operational workflows for commercial motor carriers, owner-operators, and drivers subject to FMCSA and DOT regulations. Users engaged in regulated commercial transportation operations agree to:

  • Maintain current and valid CDL, medical certification, and any other required federal or state credentials;
  • Accurately report their employment history, safety record, and any relevant regulatory history;
  • Update their Portal profile promptly when credentials, contact information, or operational status changes;
  • Comply with all applicable FMCSA, DOT, and state transportation regulations independently of their use of the Portal.

VAU0 does not assume responsibility for a carrier's or driver's compliance with regulatory requirements. Approval of onboarding through the Portal does not constitute a guarantee of regulatory compliance or fitness for commercial operation.

10. Electronic Logging Device (ELD) and Compliance Data

Where the Portal is used in connection with ELD services or FMCSA regulatory data submission, Users acknowledge that:

  • Hours of service (HOS) records, driver logs, and vehicle data submitted through connected systems may be stored and accessed as required by law;
  • VAU0 may transmit required records to authorized enforcement personnel or regulatory bodies upon lawful request;
  • Users remain individually responsible for the accuracy of their own ELD records and for compliance with HOS regulations;
  • Portal-connected ELD data may be retained for the minimum period required by FMCSA regulations, currently 6 months for HOS records unless a longer period is required.

11. Third-Party Systems and Integrations

The Portal may integrate with or rely on third-party platforms including but not limited to: cloud hosting providers, analytics services (Google Analytics), mapping services (Mapbox), banking and payment processors, insurance verification systems, communication platforms, and document storage providers.

VAU0 is not responsible for the availability, performance, data practices, or policies of third-party systems. Use of third-party services through or in connection with the Portal may be subject to the third party's own terms of service and privacy policy.

VAU0 does not endorse and is not liable for the content, products, or services offered by third-party providers accessible through or mentioned in the Portal.

12. Intellectual Property

All Portal content not submitted by Users — including but not limited to software, interface design, text, graphics, logos, workflows, and underlying code — is owned by or licensed to VAU0 LLC and is protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in VAU0's intellectual property. You may not copy, reproduce, modify, distribute, or create derivative works from any Portal content without express written permission from VAU0.

VAU0 respects intellectual property rights. If you believe content on the Portal infringes your intellectual property rights, please contact us at office@vau0.com.

13. Privacy and Data Use

Your use of the Portal is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, share, and protect your personal information, including driver and carrier data subject to FMCSA regulatory requirements.

By using the Portal, you consent to the collection and use of information as described in the Privacy Policy.

14. Cookies and Analytics

The Portal uses cookies and similar technologies for authentication, session management, security, performance, and analytics. By using the Portal, you consent to the use of cookies as described in our Cookie Notice.

You may adjust your browser settings to refuse certain cookies; however, disabling essential cookies may affect Portal functionality, including your ability to log in or maintain an active session.

15. Disclaimer of Warranties

THE PORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAU0 DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

VAU0 does not warrant that:

  • The Portal will be uninterrupted, error-free, or secure at all times;
  • Any registration, application, or onboarding submission will result in approval or any specific business outcome;
  • Data transmitted through the Portal will be free from interception or unauthorized access;
  • The Portal will meet your specific requirements or expectations;
  • Defects or errors will be corrected on any particular timeline.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAU0 LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, REPUTATIONAL HARM, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion or limitation of certain damages, VAU0's total aggregate liability to you for all claims arising from or related to the Portal or these Terms shall not exceed the greater of (a) the total fees paid by you to VAU0 in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00 USD).

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of the above limitations may not apply to you. In such cases, VAU0's liability will be limited to the fullest extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless VAU0 LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Portal;
  • Your violation of these Terms;
  • Your violation of any law, regulation, or third-party right;
  • The Content you submit to the Portal;
  • Any misrepresentation in your registration, onboarding, or account information;
  • Your operation of a commercial vehicle, whether or not related to Portal use.

VAU0 reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with VAU0's defense of that claim.

18. Termination and Suspension

VAU0 may suspend or terminate your account and access to the Portal at any time, with or without notice, if you violate these Terms, engage in fraudulent or harmful activity, or if VAU0 determines termination is necessary to protect the security or integrity of the Portal or other users.

You may close your account at any time by contacting office@vau0.com. Upon termination, your right to access the Portal ceases immediately. Provisions of these Terms that by their nature should survive termination — including Sections 7, 12, 15, 16, 17, and 19 — will continue to apply.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of the Portal shall first be submitted to informal negotiation by contacting VAU0 at office@vau0.com. If a dispute cannot be resolved informally within thirty (30) days, it shall be submitted to binding arbitration administered under the rules of the American Arbitration Association in Montgomery County, Ohio, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
